Terms of service
How quotes, payment, the audit guarantee and the rest of an engagement work.
About these terms
These terms apply when you hire InnovaNext Digital, a sole proprietorship registered in Ontario, Canada. A signed proposal or statement of work may add to them. If the two conflict, the proposal wins for that project.
Our services
We provide tracking audits, tracking implementation (analytics, tag management, server-side tagging, conversion APIs and consent setup), paid media management, e-commerce SEO, Shopify and WooCommerce development, and creative and content production. Each service page and the pricing page describe what is included and what is not.
We work to a professional standard, but we cannot guarantee specific advertising results, revenue or platform behaviour. Google, Meta, Shopify and other platforms change their products and policies without notice.
Quotes and scope
Work starts once you accept a written quote that sets out the scope, deliverables, timeline and price. Quotes are valid for 30 days. Prices are fixed for the agreed scope. If you ask for something outside it, we quote the change in writing before doing it. Timelines start once we have the access we asked for.
Payment
Prices are in Canadian dollars (CAD), before applicable tax. Applicable sales tax is added to invoices where required. Unless the quote says otherwise, audits are paid in full before work starts, implementation projects are invoiced 50% at the start and 50% on delivery, and retainers are invoiced monthly in advance. Invoices are due within 14 days.
Advertising spend is billed by Google, Meta and other platforms directly to you. It is never part of our fees.
Audit fee credit
The audit fee is credited against Implementation if you go ahead. The credit applies when you accept an implementation quote within 60 days of the audit walkthrough call and is used once, against that quote.
Audit refund guarantee
If the audit finds nothing worth fixing, we refund the audit fee.
These conditions apply:
- You ask for the refund in writing within 14 days of the walkthrough call.
- You gave us the access we asked for (for example read access to Google Tag Manager, GA4, Google Ads, Meta Events Manager and your store) and permission to place test orders.
- “Nothing worth fixing” means the report finds no issue that affects how sales, leads or ad conversions are measured, or how consent is applied.
- The refund covers the audit fee only and is paid to the original payment method within 30 days.
Your responsibilities
- Give us the access we need, at the lowest level that lets us do the work, and remove it when we finish.
- Name one person who can answer questions and approve changes.
- Review and approve changes before we publish them, and tell us about other changes made at the same time.
- Make sure you have the right to share any data or materials you give us, and that your own privacy policy and consent practices cover the tracking you ask us to set up.
- Pay platform, hosting and app costs connected to your accounts, such as a server container’s cloud bill.
Confidentiality
We keep your business information, data and account access confidential and use it only for your project. We do not name you as a client or publish your results without your written permission. For agencies, white-label work stays under your name and we do not contact your clients unless you ask us to. These duties continue after the engagement ends. We are happy to sign your NDA or data processing agreement.
Ownership of deliverables
Once you have paid in full, you own the deliverables made for you: reports, tag configurations, code, documentation and creative. We keep ownership of our general methods, checklists, templates and know-how, and you get a permanent licence to use any of them included in your deliverables. Third-party tools and platforms stay under their own licences. We may reuse anonymized, non-identifying lessons from the work.
Limitation of liability
To the extent the law allows, our total liability for any claim connected to an engagement is limited to the fees you paid us for that engagement in the 12 months before the claim. We are not liable for indirect or consequential losses, such as lost profits, lost data or lost advertising spend, or for outages and changes in third-party platforms. Nothing in these terms limits liability that cannot be limited by law.
No legal advice
We set up consent tools and tracking with PIPEDA, Quebec Law 25 and similar laws in mind, but we are not lawyers. Nothing we deliver is legal advice. Have your privacy policy, banner wording and compliance position reviewed by a qualified lawyer.
Ending an engagement
Either of us can end a retainer with 30 days’ written notice. Either of us can end a project if the other seriously breaches these terms and does not fix it within 14 days of notice. You pay for work done up to the end date, and we hand over what has been completed.
Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction over any dispute. Before going to court, we will each try in good faith to settle it by talking.
